Identify Theft--OnLine Banking?

I received a suspicious email yesterday telling me to click on the link below to update my online banking information at Bank Of America. The email looked very professional in all ways, had the proper Bank of America logo etc. Of course, I did not click on the link but notified Bank of America via email about receiving it. The response I received said amoung other things that they did not send it and to please forward the email to them , which I had allredy deleated so coulc not do it. Their email said they apologize ..."that I may have been a victim of idenity theft".
Questions:
When exactly does idenity theft occur and has anyone else received such an email from their bank (if you use online banking)>

just don't ever click on a link in an email and input your account number and password. I get those email scams all the time, most often from banks that I don't even have an account with and never have. Happens a lot with pay pal and ebay too.
